1. Acceptance of Terms

By accessing or using the Xaonic website (xaonic.com) or engaging Xaonic for any services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

2. Services

Xaonic provides custom web development services including, but not limited to, MVP development, SaaS platform development, Shopify app development, API development, and team augmentation. The exact scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work or project contract agreed upon by both parties.

3. Intellectual Property

Upon receipt of full payment for a project, the client owns all custom code, designs, and deliverables produced specifically for that project. Until full payment is received, Xaonic retains all intellectual property rights to the work product.

Xaonic retains the right to display completed work in its portfolio and marketing materials unless the client requests otherwise in writing before the project begins. Pre-existing tools, libraries, frameworks, and reusable components developed by Xaonic remain the sole property of Xaonic.

4. Payment & Cancellation

Projects are billed on a milestone basis as agreed in the project contract. Invoices are due within the payment terms stated on each invoice. Work on subsequent milestones will not commence until the previous milestone invoice is paid.

Completed milestones and delivered work are non-refundable. If a client cancels a project mid-engagement, they are responsible for payment of all work completed up to the cancellation date.

5. Confidentiality

Both parties agree to treat each other's business information, technical details, and project specifics as confidential. Xaonic will not disclose client data, source code, or proprietary information to any third party without explicit written consent, except where required by law. This obligation survives the termination of the engagement.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Xaonic's total liability for any claims arising from or related to a project shall not exceed the total fees paid by the client for that specific project. Xaonic is not liable for any indirect, incidental, consequential, or special damages, including loss of profits or data.

7. Data & Privacy (GDPR)

Xaonic collects and processes only the personal data necessary to provide its services and operate its website (e.g., contact form submissions, email correspondence). We do not sell personal data to third parties.

Individuals located in the European Union and European Economic Area have rights under the General Data Protection Regulation (GDPR), including the right to access, rectify, erase, and port their personal data. 8. Third-Party Services

Projects may integrate third-party services such as Cloudflare, social media platform APIs, payment processors, or cloud providers. Use of these integrations is subject to the respective terms and privacy policies of each provider. Xaonic is not responsible for the availability, accuracy, or compliance of third-party services.

9. Social Media & Accounts

Where Xaonic creates or manages social media accounts, advertising accounts, or other platform accounts on a client's behalf, full ownership and control of those accounts remains with the client at all times. Xaonic will transfer administrative access upon request and will not retain access after the engagement concludes unless explicitly agreed.

10. Governing Law

These Terms of Service are governed by the laws of India. Any disputes that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of India. EU and EEA clients retain all statutory rights afforded to them under applicable European law, including GDPR, regardless of this governing law clause.

11. Changes to Terms

Xaonic reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Your continued use of our website or services after any changes constitutes acceptance of the new terms. We encourage you to review this page periodically.
